@ syn. I have XP Pro sp1 on my sys at the mo,can i just overwrite it with Vista Ulltimate that i have coming?..Any precautions?

Do you mean install over it? Or upgrade? You can only upgrade if you have retail (afaik) and upgrade editions.
Always best to do a clean install anyway.

vista has an improved upgrade installation compared to XP but i would still recommend doing a clean install.

Even when you buy upgrade version of Vista it will still give you the choice at instaltion wether to upgrade current installation or make a new one.
