i dont think you need t mod your motherboard, but take out the retention bracket.

I had problems with my opty 165 naked. The retention bracket for the cpu itself is just a little bit to high.

You could sand the wite retention bracket a little bit.

So to the point you wil need to mod a little bit.

I run mine naked with a fuzion, and it works great..
Remove the stock plastic bracket, and use those four holes.... I also use a backplate from a BigTyphoon....

thanks for the reply bud, but I have s939 - different retention mechanism and only two holes to hold the fuzion down

looks like I have some weighing in pros and cons ahead of me....cure my horrible temp situation - I have a delta of over 20C from idle to load, and one of my cores runs about 8C higher than the other...think this situation calls for me to pop the lid to get the temps down?

Socket 939 here, no IHS, two bolt method. Works fine.
