Upgrade for what? What are you going to do with it and what does it cost to "upgrade"?
It has been a long time since I looked at the differences between these chips, but at stock there is not that huge of a difference I believe: http://www.anandtech.com/bench/Product/48?vs=47
The i7 will probably overclock better though and is much better for programs that can use many threads.
Overall the i7 is better, but I personally would not spend money to go from a qx9770 to i7 920 unless it is for number crunching or rendering etc and even then I would much rather spend the money on upgrading to ivy bridge or AMD FX8350 if Intel is too expensive for you. If the i7 is free though, go for it because overclocked it is significantly better than C2Q.

Thank you for your reply. I have both chips and the i7 is on a Gigabyte MB and the QX9770 is on an Asus Maximus Formula. Both are water cooled setups. I am upgrading my vid card and want to do a little gaming.

For gaming, I think it is going to depend on how well your chips overclock which chip is better. If I remember correctly, the i7 was better in almost anything except for gaming. Like you see in the anandtech benches, they are performing very similar for gaming.

For gaming stick the card on the one that runs the fastest speed.
All the other factors are so close as to not be worth while.

Run some simple superpi's and 3dMark's and see what is faster.

I say, if you dont need 2 pc's sell one and get a good graphic card for the one you use.. Both cpus have way more than enough power to take any game now.. But I think I whould use the i7 920.. they perform a little better, and has tri channel ram that allows 6/12gb instead of 4/8gb on the 775 setup.
In any case, I whould not see the need to upgrade cpu to sandybridge or ivy, because the difference is not alot, and you dont need more cpu power for gaming and normal use in probably years =)
The i7 920 is definitely better. Look at the link Conquistador posted. They both have nearly the same performance, while the QX9770 is clocked 23% higher. I don't remember how far the 920 clocks on average, but it should hit 4.0/4.2Ghz easily, and I doubt the QX9770 can match it at that speed.
It's a newer platform also. Both are EOL, but if you don't change your entire computer too often you could even swap it for a 970.
