One question about the difference between TRAY and BOX version of the Conroe...are there any other difference between them except the BOX and the stock cooler?...like waranty (as AMD chips) or the chip quality?

I don't think the OEMs come with the standard 3 year warranty.
but you're probably gonna overl:banana::banana::banana::banana: the chip, which would void the warranty anyway.

I have overclocked chips and sent them back for RMA. So yes, you void the warranty - but you can send them back most of the time and get a replacement.
in general unless there are burn marks on the cpu they will still except it under warranty (and even then I have heard of cases where it went through) though technicaly that is fraud.
