im planning to fit it into a Gigabyte x58 board with a i7 920 D0 and water cooling. so yes i plan to overclock.

If you are looking for max performance, then G.Skill RipJaws would be much better. You should have no problems with that motherboard either. Simply make sure all memory settings are properly configured, set QPI/VTT Voltage to 1.55V, and everything should be ready for overclocking.
