From P4 2,4GHz 800FSB to AMD64 3700+

Is this a good upgrad for me?
do I gonna feel some changes?

For gaming it would be a good upgrade, anything else I dont think its really worth it. Save your money until intel launches their new architecture in the summer, or until amd dual cores are reasonably priced.

Instead of a 3700 consider a lower priced opteron, same cache and overclocks the same , and somewhat cheaper.

if its for gaming that'll be fine - considering you cant get an agp 7800 or x1800 you haven't much choice but to upgrade really. a3700 would be fine, but a dual core may be better long term, - depends on how much you can get an x2 3800+ or opteron 160 for.

The price differents between 3700+ and 3800+X2 is that 3800+ X" is around 100$ more expensive.
or should I buy a whole diffrent AMD CPU?

here is a VERY nice CPU VS CPU site.

The if the 3800+ is the cheapest dual core you can get (opteron 160 is usually cheaper and has 1m cache per core but is pretty much gone now) you will be giving up a little cache if you go for it over the 3700+, but in terms of clockspeeds they should overclock to about the same, and in most applications the 3800+ should come out on top. For multitasking and media apps you would really notice it. The 3700+ is in an awkward place as its the cheapest 1m cache a64, yet the performance difference between it and a cheaper a64 (especially when they overclock to the same levels) is miniscule in almost all applications. Personally, i would go for in order of preference:

Opteron-160/165 > x2-3800+ > opteron-146/144 > a64-3700.
