The honest way is to buy another OEM copy of MCE2005. Or call Microsoft and see if they will sell you another license. The EULA can be very deceiving.
Are you using the same pc, just replacing VC and SC? Or you just want to install it on another computer?

I want to take it compleately off of the existing system and install it on a new system, the only things remaining of the system its on now will be video card and sound card.

I see zero problems. if Microsoft steps in, say you're an OEM systems builder (license you agreed to when you purchased MCE2005 OEM) and upgrading to a newer vc/sc.
read over the EULA at Microsoft just to be sure.

I freaking hate how the OEM XP detects when you have hardware changes. Sometimes just reconfiguring my hard drives from one controller to another requires me to re-activate the damn thing. I also end up RMA'ing equipment at times and whenever you do that to a motherboard you have to re-activate. I have called the Activation line, I would say 10 times in the last year or so, they must have a file on me...
