Try to upgrade to latest BIOS GA-965P-S3 - F14 (http://forum.gigabyte.de/forumdownload/betabios/20090625/965PS3.zip) with Q-Flash or @BIOS v2.06.
If this didn't help, must use bootable USB flash drive in DOS with FLASHSPI
or probably with SPIFLASH.
More info here (http://forums.tweaktown.com/f69/bios-flashing-how-qflash-guide-27576/).

yup, i tried to flash in latest 965P-S3 bios (F14) but Q-flash did not allowed that to me, because he thinks my mobo is 965P-DS3 :D Im here wondering, how much i know 965P-S3 and 965P-DS3 are 1:1, just DS3 have better capacitors, so there is nothing different between them, so theoreticly they have identical bios?! Just difference between bios have that they have mobo name in it, so there shouldnt be any king of problems in that i have atm DS3 bios on my S3, am i correct !? sorry again for ym eng :D

As you posted, you need to flash with Bootable USB(FAT 32) and SPIFLASH (http://www.fileden.com/files/2008/7/28/2024082/SPIFLASH.zip).Extract file with ZIP utility.
Make a USB bootable drive using this USB Bootable USB Creation Program "HP USB Disk Storage Format Tool - v2.1
USB Boot drive (HPUSBFW) (http://www.mediafire.com/?qy1mikzjyyq)
Next download the boot files (http://www.mediafire.com/?dgkgymdtzzi) and extract them to your desktop.
Run the HPUSBFW program.

Then browse for the extracted boot files (now in the folder on your desktop from above extraction) and press start to begin formating it.
When you make your USB bootable, insert SPIFLASH and BIOS on it.
Go into the Hard Disk Boot Priority Option In Advanced BIOS Features Page and select your USB drive as the first bootable drive.Reboot.
Once it boots to the USB, you will see a Windows 98 screen, and then the DOS prompt.
Run flash utility by typing "SPIFLASH 965PS3.f14" without the quotes at the DOS prompt.
You should be back with BIOS for your board.:D
