OEM and OEI are legal to use 64bit or 32bit solong as u have 1 licensed device. downloading the software is illegal and the proper way is to buy a 64bit disk from MS or get it with MSDN. but the key is legal to use in both, its under the alternate.

retail u get a free copy of 32 and 64bit with free disks of the opposite that u buy but the keys are all the same for 32 and 64 and MS hasnt changed it for almost 3 years so they obviously intended it. (and support it at dev conventions)

i would pull the part from the EULA but im on server now, its ushualy under ALTERNATIVE VERSIONS affter scope

Just download Win7 beta and then wait for the it to come out is an option, but if you play stuff that uses punkbuster then I would just stick to 32 bit till Win7 way worth the wait.
