it looks ok but what psu are u getting and i would go for gskill 1000 or 1066mhz 2x2GB for ram

no idea for the gigabyte but the P5K-E did boot fine here with E8400 out of the box... And like Zanzabar told you with PC6400 ram you would be limited to 400FSB if ya don't intend to OC the ram...
