PC won't load SC Double Agent!!!

Just built a new rig, and I can't get SCDA to load. It played fine on my old rig, but not this one. I have several other games on the new one that play no problem, even 2 other Ubisoft games, SC Chaos Theory and Dark Messiah.... along with Oblivion.

I've double checked, I have the latest DX9, (all updates have been dl right from the web) the drivers for the video card and mobo... I have removed the drivers and uninstalled everything... reinstalled and it still won't load. It starts to load and I get the OS error where it wants to send an error report to MS and it closes.

The rig is:
e6600
evga 680i
evga 8800gtx
x-fi extreme gamer
2g pc2-8500
enermax galaxy 850
WC by Swiftech

Anyone got any ideas on what I can try?
